Waiver and Release of Liability Usage of Exercise Equipment, Facilities, Training Plans, Nutrition Plans, and Protocols.
- MEMBERSHIP AGREEMENT DETAILS:
Member agrees to pay {{membership_fee}} monthly, which will be withdrawn monthly. Beginning at sign up for the first payment date for a period of {{membership_duration}} months. The spa guarantees not to increase the amount of the contract you locked in. Énergie Vitale may revise the price at any time without notice, which would be applicable only once your current membership is over.
Notwithstanding any other provisions of this Agreement, you understand and agree that the amount of your membership dues is based on current sales tax rates and to the extent such rates should increase during your membership, the club has the right to increase your membership dues by the amount of such increase. If you have requested the privilege of paying your dues by pre-authorized electronic funds transfer, the amount so transferred will be adjusted to reflect any increase in the sales tax rate.
I hereby authorize Énergie Vitale to initiate debit entries to my account as indicated above for the specified term including all taxes that may be applied to my account. I agree as a member to have read and understood this agreement and rules and regulations that are attached. The contract will be executed at the address of the spa.
If I do not pay the service/contract as agreed. Énergie Vitale may, at their option, disclose the delinquent status of my service/contract and any other relevant information to credit bureau organization.
In case of returned payment, you will be charged {{returned_payment_fee}}.
Monthly dues are collected as per the membership agreement. In the case of an incomplete transaction, the center reserves the reserved the right to reattempt the transaction. Outstanding money dues may result in revocation of membership. Accounts pas due beyond {{outstanding_days}} days are subject to payment in full of the entire balance of the agreement and club use may be revoked as deemed satisfactory by management. Any costs of collection, including the collection of agency fees, court costs, and reasonable attorney’s fees will be incurred. - SPA AGREEMENT DETAILS:
As valid consideration for: Entry into the premises of any ÉNERGIE VITALE Location (the “Premises”) by you and/or your minor child; or (ii) participation by you and/or your minor child in the services provided on the premises, which may include, but are not limited to, whole or partial body cryotherapy, compression therapy, infrared sauna, red light therapy, cold plunge, rainfall shower, or any other service offered on the Premises (the “Services”), you agree as follows.
You must follow the instructions given to you by the attendant and sign the Consent Form for the unlimited use of services offered in our spa at your disposal. By signing this agreement, you confirm that you acknowledge that you are voluntarily participating in the Services with knowledge of the dangers involved and accept and assume all risks or injury, illness, disability or death, whether cause by the condition of the facilities or equipment or the actions/inactions of the attendant or otherwise. You are solely responsible to determining your health and physical status, in conjunction with your physician. We are at all responsible of anything that could happen in our spa.
Acknowledge that use of the Services involves risk of bodily injury, illness, disability or death, which may be compounded by actions/inactions of the attendant and acknowledge you understand that any of these services are NOT permitted if you are pregnant or had cardiac issues or any serious past health issues. You acknowledge you understand the nature of the proposed therapy and the risks and dangers have been explained to your full satisfaction.
If you experience any pain or mental or physical discomfort at any time while participating in the Services, we strongly encourage that you terminate the session immediately.
No representations or claims are made as to the therapeutic nature or other benefits of the Services. None of the Services are intended to diagnose, treat, cure or prevent diseases, illnesses, imbalances or disorders. No results from the Services are assured and you acknowledge there have been no claims or guarantees regarding the results of the Services provided. Every guest is different and responds differently to therapy.
You acknowledge you have been informed of possible risks and side effects of the Services you are receiving, however, you acknowledge you desire to receive Services after having considered the information contained, the information provided to you through conversations, and materials that may be provided to you to educate you about the Services you will receive. You acknowledge you have had the opportunity to ask questions and with respect to the Services you will receive and all your questions have been answered to your full satisfaction.
We kindly ask that all guests maintain a respectful atmosphere by refraining from nudity, sexual behaviors, or any inappropriate conduct. Thank you for your understanding.
Expressly waive and release and all suits, liabilities, demands, sums of money (including attorney’s fees and costs), causes of action, judgements, and claims against VITAL ENERGY INC. and its parent, predecessor, subsidiaries, and affiliates, and their respective officers, directors, managers, members, partners, shareholders, independent contractors and employees (the “indemnified Parties”) harmless from all fines, suits, proceedings, claims, demands, liabilities, injuries, damages, expenses, obligations or actions of any kind (including costs and reasonable attorneys’ fees) arising in whole or in part from services provided or operation of the practice (including any claims for unauthorized practice of medicine, medical malpractice, or other claims for violation of Care Provider Regulations), performance or breach of its obligations under this Agreement, breach of any warranty or representation in this Agreement or from the acts or omissions of Franchise, its employees, or agents, including is advertising of the Franchised Business, except as otherwise provided in this Agreement.
Expressly waive and release any and all suits, liabilities, demands, sums of money (including attorney’s fees and costs), causes of action judgements, and claims against Vital Energy Inc, 5155 rue de Sorel, Montreal, Quebec, H4P 1G7, and its parent, predecessor, subsidiaries, ad affiliates, and their respective officers, directors, managers, members, partners, shareholders, independent contractors and employees (the “Indemnified Parties”) harmless from all fines, suits, proceedings, claims, demands, liabilities, injuries, damages, expenses, obligations or actions of any kind (including costs and reasonable attorneys’ fees) arising in whole or in part from Franchisee’s ownership, operation or occupation of the Franchised Business (including any claims for unauthorized practice of medicine, medical malpractice, or other claims for violation of Care Provider Regulations), performance or breach of its obligations under this Agreement, breach of any warranty or representation in this Agreement or from the acts or omissions of Franchisee, its employees, or agents, including its advertising of the Franchised Business, except as otherwise provided in this Agreement Franchisor and its parent, predecessor, subsidiaries and affiliate, and their respective officers, directors, managers, members, partners, shareholders, independent contractors and employees.
Indemnify and hold harmless the Released Parties from any loss, liability, damage, cost or expense (including attorney’s fees and costs) arising out of or connected in any manner with; you or your minor child’s actions or omissions on the Premises or you or your minor child’s presence on the Premises. The indemnity obligation contained herein will apply even if such injury or damage is caused, in part, by the Released Patties’ own negligence. - TERMS OF MEMBERSHIP IN SPA: WAIVER, RELEASE AND INDEMNITY AGREEMENT:
For and in consideration of permitting the member to join the spa and to participate in all the available services such as the infrared sauna, red light therapy, cold plunge, cryotherapy, leg compression, rainfall shower and other health club activities available at or through the facility, the member hereby assumes all risks of such activity and the use of what is made available to him/her, and voluntarily releases, discharges, waives and relinquishes any and all claims or causes of action for personal injury, property damage or wrongful death occurring to himself/herself arising as a result of engaging or receiving instructions in the facility or any activities incidental there to wherever or however the same may occur and for whatever period said activities or instruction may continue, except where the damage is imputable to ross, negligence on the part of the facility; and for himself/herself, his/hers heirs, executors, administrators and assign does hereby agree that under no circumstances will he/she or his/hers heirs, executors, administrators and assigns prosecute or present any claim for personal injury, property damage or wrongful death against the facility or any officers, agents, employees, or servants for any of said causes of action where the facility has been negligent, except where the damage is imputable to gross negligence on the part of the facility.
IT IS THE INTENTION OF THE MEMBER BY THIS INSTRUMENT TO EXEMPT AND RELIEVE THE FACILITY FROM ANY LIABILITY FOR PERSONAL INJURY, PROPERTY DAMAGE OR WRONGFUL DEATH CAUSED BY NEGLIGENCE, EXCEPT WHERE THE DAMAGE CAUSED IS IMPUTABLE TO GROSS NEGLIGENCE ON THE PART OF THE FACILITY.
The member for himself/herself, and in the name of his/her heirs, executors, administrators or assigns, agrees that in the event that any claim for personal injury, property damage, or wrongful death shall be prosecuted against the facility arising out of his/her membership in the facility, he/she shall indemnify and save harmless the facility from any and all claims or causes of action by whomever for personal injury, property damage or wrongful death.
The member agrees that the facility shall not be held liable to him/her guest, for lost or stolen articles. The facility shall not be held liable for loss or damage to any property of his/her guest including his/her automobile/vehicle/scooter/bike and its contents. It is agreed that any damage caused by the member to any third party or a third party’s property while on or near the facility premises will be the sole responsibility of the offending member.
The member acknowledges that he/she has read the foregoing, has been fully and completely advised of the potential dangers incidental to engaging in the facility Activities and is fully aware of the legal consequences of signing this instrument. - TERMINATION OF THE CONTRACT: ”Clause required under the Consumer Protection Act. You, the buyer, may cancel this agreement at any time within a period equal to 1/10 of the intended duration of the contract. In the event of a cancellation within the time limits, the member is responsible to pay the equivalent of 1/10 of the complete contract value (10%). After the {{cancellation_period}} day period, you may cancel your membership at any time during your contract period. However, we will charge you a {{cancellation_fee}} cancellation fee. To cancel this agreement, mail the attached for annexed, here, signed and dated, to the above address, or send a written notice, signed and dated, indicating your intention to cancel the agreement. The consumer has the right to consult the articles 197-205 of the consumer protection laws, RLRQ, c. P-40.1
ÉNERGIE VITALE RESERVES THE RIGHT TO TERMINATE THE CONTRACT IN THE EVENT OF NON-PAYMENT, NON-COMPLIANCE WITH THE POLICIES AND TERMS AND CONDITIONS, NON-COMPLIANCE WITH THE CODE OF CONDUCT OR ANY OTHER BREACH OF THE REGULATIONS AND LAWS IN FORCE. - PARENTS OR LEGAL GUARDIANS OF MINORS/CONDITIONS FOR MINORS: We the undersigned parents or legal guardians for an in consideration of our child’s participation in the Spa, Activities offered at the Spa, state that we have read, the above waiver, release, and indemnification and we expressly agree that the terms and conditions of said waiver, release and indemnification shall apply to and be binding upon us and our minor child in so far as it pertains to his/her participation in the Spa Activities and to any injury or damage our minor child may sustain or cause as a result of such participation, except where the damage is imputable to gross negligence on the part of the Spa.
Members under {{minor_age}} years of age must bring a parent or legal guardian to the spa on their first visit to pick up their membership card. The member under 16 years of age declares that they have the consent of their parent or legal guardian, who has read and understood the terms and conditions of the membership and the conditions for minors. The parent or legal guardian must provide proof of parentage or guardianship when present at the spa. Members under the age of 16 will not have access to the spa until full consent has been obtained from their parent or legal guardian.
Members under the age of 16 are not permitted in the spa unless they are participating in a group activity with a coach or legal guardian responsible who will be supervising them. - MEMBERSHIP: The membership card is not to be used by anyone other than the member to whom it is issued. Membership cards are required for admittance to the spa facility. Members must scan their key tag upon entering the facility. If a member of the facility forgets or misplaces their key tag, they must present a valid photo ID at the reception. The ID will be held at the reception until the member leaves the facility. In the event of lost or stolen key tag, the member will be charged {{key_tag_replacement_fee}} for a replacement key tag.
The contract is valid between the dates indicated on it. No suspension or extension of the term is possible under any circumstances, including moving or medical reasons.
You can upgrade your membership at any time. Note that when you upgrade your membership, a new one-year contract is created on that date. Unfortunately, it is not possible to downgrade your membership, unless you cancel your membership and pay the applicable cancellation fees.
Énergie Vitale reserves the right, as per the terms of your Membership Agreement, to cancel or suspend Memberships, without refund, if a Member displays any of the following behaviour:
Failure to follow our rules and regulations, or any breach of the terms of your Membership agreement;
Causing a nuisance or disturbance;
Committing any illegal or immoral acts;
Taking action that may endanger yourself or others.
Any sexual harassment towards other members
Nudity, sexual behaviors, or any inappropriate conduct. - KEY TAGS: A valid photo ID will be required at your first visit in order to receive your Membership key tag. As a Member, you are required to upload a SELFIE picture on your Mindbody application or to have the receptionist take your picture, to ensure the safety and security of everyone in the facility. This photo will be saved and used only for your Mindbody profile which will allow for quick photo verification on future visits to the facility.
A Membership key tag entitles the corresponding Member to use the Énergie VItale facility. The key tag is created exclusively for the use of the Member it is issued to and is not transferable. Members found fraudulently sharing key tags may face discipline, including cancellation of Members and/or a ban to our facility. - ACCESS TO THE SPA: The facility will be available to members during operational hours, although it may close for a few days during the year for holidays. Members will be notified in advance of any closures. We do everything in our power to ensure continuous opening according to the posted opening hours, however, certain situations beyond our control may occasionally arise. Thus, we reserve the right to temporarily close the gym, without monetary compensation, in the event of force majeure, power failure, internet failure, unsafe training environment or for any other reason that we deem valid.
The members acknowledge that there may be occasional equipment failures, service breakdowns, delays in opening, or other situations where reasonable time may be required to restore the situation. In such cases, no monetary compensation will be given.
Members are strictly prohibited from giving access to another person who is not a member or who does not have their access key tag, including opening the door even if you know the person. Offenders of these regulations are liable to prosecution and Energie Vitale reserves the right to immediately terminate their membership. - LOCKERS: Lockers are provided for daily use by members only. It is prohibited to keep your personal belongings in the locker overnight and must be cleared by closing time. If locks are left for an extended period of time, a notice will be posted and after a period of 48 hours, appropriate action will be taken if this policy is not followed.
Members are urged not to bring valuables into Énergie VItale premises. Énergie VItale, its agents or employees shall not be liable for the loss, theft or damage to personal property of members and, or guests. - TRANSFERABILITY: Neither member nor unauthorized agent will sell, assign or transfer this agreement or his/her membership in the club or any other right or privilege herein or therein contained. Any such sale, assignment or transfer shall be null and void and of no force or effect whatsoever. This membership is not transferable in any manner unless under circumstances which have been approved by management only.
- STAY CONNECTED WITH US: Keeping in touch is important to us, Email and Phone communications allows us to keep you informed about new products, incredible offers, service information and other news. By signing the membership agreement, I consent to receiving electronic and phone communications, including emails and phone calls from Énergie VItale. I may withdraw consent at any time and Unsubscribe by presenting myself to the front desk or sending an e-mail with read receipt to my home clubs info address state on top of page one of the contracts.
- GENERAL RULES:
Members must remove outdoor shoes before passing the gates at reception, especially winter because we have to keep our facility clean. Only indoor shoes are allowed in the facility. Must wear clean sandals inside the spa.
We have ZERO tolerance for aggressive words or actions towards employees and other members. The utmost courtesy and respect for others are required at all times.
We have ZERO tolerance for nudity, sexual behaviors, or any inappropriate conduct.
Please keep quiet at all times.
Our employee will be assisting you for the 3 services: red light therapy, leg compression and cryotherapy. These services are not self-served and kindly advise us when you would like to use the services.
Members are expected to leave the premises when the 90min is over.
Due to a 90min block reservation, it is important that you arrive on time, or your time will be limited to what you have left.
You are limited to one visit of 90min of use to all services offered in the spa. You can’t divide the time to come twice a day, as it must be used in one visit only.
No loud or abusive language is permitted. Observe and respect the personal space of other Members.
No alcohol, smoking, or drugs are allowed on the premises.
THE SALE, DISTRIBUTION, OR PROMOTION OF PRESCRIPTION DRUGS WILL RESULT IN THE IMMEDIATE REVOCATION OF MEMBERSHIP.
No personal notices, advertising or other literature, either posted or for distribution is allowed without the express written permission of the management.
Adjustment to the television, radio, heater, air condition, fans and other equipment may be made by staff only.
Cups, papers, and trash should be disposed of in the proper receptacles.
Énergie VItale reserves the right to refuse admittance and the use of the facility to anyone.
Members may not enter offices or other restricted areas unless authorized by management.
We welcome you to bring a videographer for photo shoots at our spa, however, please ensure that you obtain prior authorization from the gym owners to organize and plan this event. This is essential for maintaining a smooth operation and ensuring everyone’s safety.
It is mandatory to book a reservation online for the Vital Energy spa experience as the space is limited, especially during peak periods. Please book your spot on our website.
Please note that if these guidelines are not followed, we will have to ask you to leave. Thank you for your understanding and cooperation! Énergie VItale reserves the right to terminate a contract at any time as we take this seriously. - SPA AREA:
In the spa, men are required to wear shorts, while women should wear either a swimsuit or a tank top with shorts. This dress code is in place to maintain respect for personal boundaries and to minimize nudity. The only treatment that we permit and doesn’t require a wardrobe change would be the leg compression.
Must wear clean sandals inside the spa.
The use of a towel or bathrobe is mandatory at all times. Please toss away in the bin when finished.
Food is not allowed in the spa. Members may only consume food in the bistro area located at the front reception.
It is forbidden to smoke or have an electronic cigarette device in one’s possession.
To prevent the risk of tripping or injury, bags must be stored in the locker room. - CHANGES TO TERMS OF USE: Énergie VItale may revise these Terms of Use at any time without notice. Any use of the Sites following the date on which changes to these Terms of Use or the Privacy Policy are published on the Sites shall constitute your acceptance of all such changes. You expressly agree that Énergie VItale shall have no obligation to provide you with any notice of any changes, and you hereby expressly waive any right you may have to receive notice of any changes to these Terms of Use or the Privacy Policy.
- PRIVACY POLICY: Information that you provide to us or that we collect about you and your Company through your access to and use of the Site is subject to our Privacy Policy, the terms of which are hereby incorporated by reference into these Terms. We encourage you to read and become familiar with our Privacy Policy.
- COPYRIGHT: All content, software, and technology included on the Sites or used in the operation of the Sites is the owned or licensed property of Énergie VItale or its content, software, and technology suppliers, and is protected by U.S. and international copyright laws. The compilation (meaning the collection, arrangement, and assembly) of all content on the Sites is the exclusive property of Énergie VItale and protected by U.S. and international copyright laws Énergie VItale grants you permission to view and use content, software, and technology made available to you on the Sites in connection with your own personal, non commercial use of the Sites. Any other use, including the reproduction, modification, distribution, transmission, republication, display, or performance, of the content, software, and technology on the Sites is strictly prohibited.
- DISCLAIMER OF WARRANTIES: THE SITES AND ALL CONTENT, MATERIALS, PRODUCTS AND SERVICES AVAILABLE THROUGH THE SITES ARE PROVIDED ON AN “AS IS, WITH ALL DEFECTS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE. Under no circumstances whatsoever shall Énergie Vitale’s aggregate liability resulting from or relating to your use of the Sites exceed Five Dollars ($5.00). - PROHIBITED ACTIVITIES & VISITORS OBLIGATIONS: As a visitor or user of the Sites you shall not:
violate any applicable law or regulation;
upload, post, use, transmit, or otherwise make available, including by e-mail, (each, a “Post”) any content or information that is false or inaccurate;
Post any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, or content that could otherwise be considered to be objectionable;
impersonate or use the identity of another person or organization, or falsely state or otherwise misrepresent your affiliation with a person or organization;
engage in any activities or manipulate identifying material to misrepresent the origin of content;
Post any content that is subject to any disclosure restrictions;

You agree that you are solely responsible for the Post of any content that you make available on or send through the Sites (“User Content”). In addition to the rights granted to Énergie VItale elsewhere in these Terms of Use, you hereby grant Énergie VItale the irrevocable right to copy and use User Content in connection with the Sites and for the purposes related to your Post of the User Content. Although Énergie VItale has no obligation to screen, edit or monitor any of the User Content or user conduct on the Sites, Énergie VItale reserves the right, and has absolute discretion, to remove, screen or edit any User Content and to monitor any user conduct on the Sites at any time and for any reason without notice. Your User Content may be available on the Sites for a limited period of time, as determined by Énergie VItale in its sole discretion. You are solely responsible for creating backup copies and replacing any of your User Content at your sole cost and expense.
By the Post of User Content to the Sites, you represent and warrant that (a) the User Content is non-confidential is not subject to disclosure restrictions under any applicable data privacy laws or regulations; (b) you have all necessary rights to Post the User Content to the Sites and to grant the rights to Énergie VItale you grant in these Terms of Use; (c) the User Content is accurate and not misleading or harmful in any manner; (d) the User Content, and your use and the Post thereof in connection with the Sites, does not and will not violate these Terms of Use or any applicable local, state, national or international statute, regulation, or law. - LINKS TO OTHER WEBSITES: The Sites may contain links to other web sites. Additionally, other web sites may contain links to the Sites. Énergie VItale does not review or monitor the web sites linked to the Sites and Énergie VItale is not responsible for the content or policies of any other web sites. Any link established by Énergie VItale does not constitute an endorsement of the other web sites or create a relationship between Énergie VItale and the operators of other web sites.
